AGREEMENT TO THESE TERMS
Gemmeza is operated by Adel Sameh Labib Elsabbagh, an individual developer based in Cairo, Egypt ("Gemmeza", "we", "us", or "our"). These Terms govern the Gemmeza mobile application, website, ordering platform, restaurant and owner tools, reports, and related support services (together, the "Services"). If you do not agree to these Terms, do not register for or use the Services.

1. THE SERVICE
Gemmeza is a campus food-ordering platform that connects students with participating university restaurants. Students can view menus, request pickup orders, follow order status, and receive service notifications. Restaurant staff can manage orders, and restaurant owners can manage participating businesses and receive reports.
Gemmeza provides the technology and operational platform. The restaurant is the seller and provider of the food. Gemmeza does not prepare, manufacture, package, or serve food.
2. ELIGIBILITY AND ACCEPTANCE
The Services are intended for people aged 16 or older. If you are under the age of legal majority where you live, you may use the Services only with permission from a parent or legal guardian who has reviewed and agreed to these Terms.
By creating an account and selecting the registration checkbox, you confirm that you have read and accepted these Terms and the Privacy Policy. If you use the Services for a restaurant or another business, you confirm that you are authorized to accept these Terms on its behalf.
3. ACCOUNTS
You must provide accurate, current information and keep it updated. You are responsible for protecting your password and must promptly tell us if you believe your account was accessed without permission.
You may not impersonate another person, create accounts with false details, or create replacement accounts to evade an unpaid-order restriction, suspension, or ban. Restaurant-owner accounts require Gemmeza approval.
4. ORDERS
Menu descriptions, prices, operating hours, and availability are supplied or managed by participating restaurants. Placing an order sends a request to the selected restaurant. An order becomes accepted when the restaurant accepts it through Gemmeza. Before acceptance, the restaurant may reject it, and Gemmeza may cancel it automatically if the restaurant does not respond within the applicable response period.
Prices are displayed in Egyptian Pounds. Gemmeza calculates the order total from the restaurant's current item prices and the quantities requested. Students must review an order before submitting it. Once accepted, the student must collect and pay for it under these Terms.
When a student places an order, the student's phone number is shared with the cashier and authorized staff at that restaurant so they can contact the student about preparation, pickup, or an issue with that order.
5. STUDENT PAYMENTS AND PICKUP
For ordinary orders, students currently pay the restaurant directly when collecting the order. Gemmeza does not collect the ordinary purchase price from the student through the app. If additional payment methods are introduced, these Terms and the checkout information will be updated.
Students are responsible for monitoring order status and collecting accepted orders within the pickup period communicated through Gemmeza. Questions about an ordinary payment, refund, replacement, incorrect item, or food issue must first be directed to the restaurant as the seller. Gemmeza support may help the parties communicate but does not replace the restaurant's responsibilities.
6. ORDERS NOT COLLECTED
If an accepted order is prepared, marked ready, and not collected by the pickup deadline shown through Gemmeza, it may be marked not collected. The student then owes Gemmeza an amount equal to the full value of that order under Gemmeza's arrangement with the participating restaurant.
The student's account will be restricted until Gemmeza confirms full payment. Payment may be made using an approved InstaPay address or mobile wallet communicated through the official restriction screen or support channel. Gemmeza may request a payment reference or proof to verify payment.
Gemmeza retains payment collected for a not-collected order under its separate commercial arrangement with the restaurant. Paying clears the related restriction after confirmation; it does not create a new food order.
A student who believes an order was incorrectly marked not collected should contact support. Gemmeza may investigate with the restaurant, correct the order, void the related debt, or maintain the restriction based on the available records.
7. RESTAURANT RESPONSIBILITIES
Each participating restaurant is an independent food seller and is responsible for:
- The accuracy of its menu, prices, availability, operating hours, and business information.
- Accepting or rejecting orders and preparing accepted orders accurately and on time.
- Food ingredients, allergens, hygiene, safety, quality, packaging, and legal compliance.
- Handing orders to the correct customer and accurately recording pickup or non-collection.
- Refunds, replacements, and complaints concerning food or ordinary payments made directly to it.
- Using the student's name, phone number, and other information only to manage or contact the student about the relevant order, and never for independent marketing or unrelated purposes.
8. ALLERGIES AND DIETARY REQUIREMENTS
Students with allergies or dietary requirements must contact the restaurant directly before ordering. Information displayed through Gemmeza is not a guarantee that an item is allergen-free or suitable for a particular diet. The restaurant remains responsible for the food information it provides and for safe preparation.
9. OWNER COMMISSIONS AND REPORTS
Each restaurant is assigned a commission percentage in Gemmeza's records. For each weekly settlement, Gemmeza calculates commission on completed orders, subtracts the full value of orders marked not collected, and applies any signed administrative corrections. A positive final balance is payable by the owner to Gemmeza. A negative final balance is payable by Gemmeza to the restaurant.
Each weekly settlement covers the period beginning Saturday at 12:00 AM Cairo time, inclusive, and ending the following Saturday at 12:00 AM Cairo time, exclusive. The settlement is frozen when the week closes, and Gemmeza sends the owner a report containing the applicable restaurant records.
An owner-payable balance is due within 72 hours after the week closes. The owner must submit the exact payment through an approved InstaPay address, mobile wallet, or bank-transfer destination together with the required payment reference. Partial payments and screenshots in place of a payment reference are not accepted. Payment is complete only after Gemmeza confirms it.
If an owner-payable balance remains unconfirmed after the deadline, the affected restaurant may be removed from student listings and prevented from receiving new orders until Gemmeza confirms payment. Existing orders and owner access may remain available. A negative balance does not suspend the restaurant and must instead be paid by Gemmeza within the applicable period.
Weekly settlements are not recalculated after they are frozen. Owners may dispute a record by contacting support, and any approved correction will normally be applied as an adjustment to the next open settlement.
10. ACCEPTABLE USE
You may not:
- Use Gemmeza for fraud, unlawful conduct, harassment, or abuse.
- Place false orders or intentionally fail to collect accepted orders.
- Evade account restrictions, unpaid amounts, suspensions, or bans.
- Access another person's account or collect another user's information without authorization.
- Interfere with security, availability, order records, reports, or platform operation.
- Use unauthorized bots, scraping, reverse engineering, or automated access, except where applicable law does not permit that restriction.
- Upload malware or submit false, misleading, infringing, or unlawful information.
11. INTELLECTUAL PROPERTY
Gemmeza owns or licenses the platform software, design, branding, text, and other materials created for the Services. We grant users a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended personal or approved business purpose.
Restaurants retain ownership of menu information, names, logos, images, and other materials they provide, or confirm that they have permission to use them. They grant Gemmeza a non-exclusive license to host, reproduce, format, and display those materials as needed to operate and promote Gemmeza and the participating restaurant.
Feedback may be used to improve Gemmeza without compensation. Gemmeza does not claim ownership of private support messages, order information, or personal data.
12. MOBILE APPLICATION LICENSE
We grant you a limited, revocable, non-exclusive, non-transferable license to install and use the Gemmeza app on devices you own or control for purposes permitted by these Terms. You may not copy, sell, sublicense, distribute, modify, or attempt to derive the source code except where applicable law permits it.
If you download Gemmeza through Google Play or the Apple App Store, the applicable store rules and license terms also apply. The store provider is not responsible for Gemmeza's operation, restaurant food, support, or claims concerning the Services except where its own terms or applicable law state otherwise.
13. PRIVACY
Our Privacy Policy explains the personal data Gemmeza collects, why it is used, who receives it, retention practices, security, user rights, and account deletion. The Privacy Policy forms part of these Terms.

14. SUSPENSION, TERMINATION, AND ACCOUNT DELETION
Gemmeza may restrict, suspend, or terminate access where reasonably necessary because of a breach of these Terms, fraud, account misuse, unpaid-order debt, inaccurate business information, a legal requirement, or a risk to users, restaurants, or the platform.
Students may request account deletion inside the app or through the public account deletion page. A student account cannot be deleted while it has an active order or unpaid order debt. Restaurant-owner deletion may unlink restaurants but does not erase restaurant, order, commission, accounting, or dispute records that must be maintained.
Deletion and retention are subject to the Privacy Policy and applicable law. Ending an account does not cancel amounts already owed or obligations that arose before termination.
15. AVAILABILITY AND SERVICE CHANGES
Gemmeza works to keep the Services available but does not guarantee uninterrupted or error-free operation. Maintenance, network problems, providers, security incidents, or events outside reasonable control may cause delays or interruptions.
We may correct errors and change, add, suspend, or discontinue features. We will update these Terms before introducing a material change to payment obligations or account restrictions and will provide additional notice where appropriate or legally required.
16. DISCLAIMERS AND RESPONSIBILITY
To the extent permitted by law, the technology Services are provided as available. We do not promise that every restaurant, item, price, or operating time will always remain available or accurate.
Restaurants are independent food sellers, not Gemmeza employees or agents. Each restaurant remains responsible for its food and its acts or omissions. Nothing in these Terms removes a responsibility or consumer right that cannot legally be excluded.
17. LIMITATION OF LIABILITY
To the fullest extent permitted by law, Gemmeza is not responsible for indirect, incidental, special, or consequential loss caused by use of or inability to use the technology Services. Gemmeza remains responsible where liability cannot legally be excluded, including responsibility arising from fraud, willful misconduct, or other liability applicable law requires us to bear.
These limitations do not limit claims directly against a restaurant concerning food, allergens, preparation, quality, an ordinary payment made to the restaurant, or a refund for which the restaurant is responsible.
18. GOVERNING LAW AND DISPUTES
These Terms are governed by the laws of Egypt without removing any mandatory protection that applies to a user. Before starting court proceedings, you and Gemmeza agree to attempt in good faith to resolve the dispute informally for 90 days after one party sends the other a written description of the dispute and requested resolution.
If the dispute is not resolved during that period, it may be brought before the competent courts of Egypt. Either party may still seek urgent relief, report a matter to a regulator or law-enforcement authority, or exercise a right that applicable law does not permit these Terms to restrict.
19. CHANGES TO THESE TERMS
We may update these Terms when Gemmeza, its business rules, payment methods, or applicable law change. We will update the effective date, provide additional notice of material changes, and may require users to accept revised Terms before continuing to use some or all of the Services.
20. GENERAL TERMS
These Terms and the Privacy Policy form the agreement concerning use of Gemmeza. If a provision is invalid or unenforceable, the remaining provisions continue to apply. A failure to enforce a provision immediately is not a waiver. We may transfer our rights and obligations as part of a lawful transfer of Gemmeza; users may not transfer their accounts or obligations without permission.
